CODE OF CONDUCT

Maqbool Textile Mills Limited, conducts its business with the highest ethical standards in full compliance with all applicable laws. Honesty and Integrity take precedence in all relationships, including those with customers, suppliers, employees and other stakeholders”.

Introduction To The Code

A commitment to Honesty, Ethical Conduct and Integrity is the supreme objective of the Company. To assist employees in achieving this objective and implement its commitment, the Company has developed a comprehensive Code of Conduct which guides the behaviour of Directors, Officers and Employees of the Company.

Contents Of The Code

The Following Principles, constitute the Code of Conduct which all Directors, Officers and Employees of Maqbool Textile Mills Limited, are required to apply in their daily work and observe in the conduct of Company’s Business. While the Company will ensure that all Employees are fully aware of these principles, it is the responsibility of each employee to implement the Company’s Policies. Contravention is viewed as misconduct.
This Code identifies the acceptable standards, under the Following Headings:

• Responsibilities Towards Stake Holders

Core Values

The Credibility, Goodwill and Repute, earned over the years can only be maintained through Continued Conviction in our Corporate Values of Honesty, Justice, Integrity, and Respect. The Company, strongly believes in the Democratic Style of Leadership with Fair, Transparent, Ethical and High Professional Standards of Conduct, in all areas of business activities.

Ethics And Business Practices

(a) Formulation Of Strategy & Overall Business Plan
The Company, shall formulate and monitor its Objectives, Strategies and Overall Business Plan of the organization. The Company, shall be continuously involved in the Research and Development of new products while improving the quality of existing products, using highest level of quality control measures, at every stage of its operations. Creativity and Innovation must prevail at all levels of hierarchy to achieve the organizational excellence.
(b) Protection Of Assets & Proprietary Information
We consider our Company’s Assets, both Physical and Intellectual, very valuable. We have, therefore, an obligation to protect these Assets in the best interests of the Company and its Shareholders. Protection of the Company’s Information is important for our business.

(c) Confidentiality Of Proprietary Information
During the course of employment executives may have access to confidential information pertaining to the Company or its customers. They are expected to maintain confidentiality and integrity of all such sensitive matters during and after their employment with the Company. Such information must be limited to those who are required to have access to it for operational reasons. All Employees are expected to know what information is Proprietary and which must not be disclosed to unauthorized sources. Employees are responsible for applying all available tools to manage the Company’s Information Resources and Records.
(d) Abidance Of Laws
It is the Company’s Prime Objective, to comply with all applicable Laws and Regulations and to cooperate with all Governmental and Regulatory Bodies. All Employees are expected to understand the Laws and Business Regulations related to their work, and comply fully, so that our Shareholders, Employees, Customers, Suppliers, Stakeholders and the Government have Complete Faith, in the way we operate, and that our business decisions are made ethically and in the best interests of the Company.
(e) Corporate Reporting And Internal Controls
The Company maintains Effective, Transparent and Secure, Financial Reporting and Internal Control Systems, so as to ensure reliable performance measurement and compliance with the Local Regulations and International Accounting Standards, as applicable. The Company, strictly adheres to the principles of good corporate governance and is committed to high Standards of Corporate Governance. The Company regularly updates and upgrades Manufacturing and Reporting Systems, so as to keep abreast with the technological advancements and to achieve economies of production.
(f) Health, Safety And Environmental Policy
We believe in conducting the Company’s Business in a manner that respects, protects and improves the environment and provides employees with a safe and healthy workplace. We conduct our business in an environmentally responsible and sustainable manner. Employees must be completely familiar with the Permits, Health, Safety and Environment Policy, Local Laws and Regulations, that apply to their work.
(g) Relations With Business Partners
We seek to do business with the Suppliers, Vendors, Contractors and Other Independent Businesses, who demonstrate high standards of ethical business behaviour. Our Company, will not, knowingly do business with any Person/(s) or Businesses that operate in the violation of applicable laws and regulations, including Employment, Health, Safety and Environmental Laws. We shall take steps, to assure that our Suppliers, Vendors and Contractors, understand the standards we apply to ourselves, and thus, expect the same from them as well.

(a) Share Holders
The Company believes in maximizing the Shareholders’ Value by providing a consistent growth and fair return on their investment.
